Terms of Service
Winery Exits, LLC — Effective Date: July 16, 2026
Welcome to Winery Exits, LLC (“Winery Exits,” “Company,” “we,” “us,” or “our”).
Winery Exits provides confidential marketing, buyer identification, buyer matching, opportunity introductions, Buyer Access, valuation tools, and related online services for wineries, vineyards, wine brands, inventory, equipment, and other wine-industry assets. When applicable, licensed real estate brokerage services may be provided by Daniel Pressey through W Real Estate under a separate written agreement.
By accessing or using the Winery Exits website, valuation tools, Buyer Access, seller tools, opportunity materials, electronic agreement features, or other services made available through Winery Exits (collectively, the “Services”), you agree to these Terms of Service.
If you do not agree to these Terms, do not use the Services.
1. Scope of Winery Exits Services
Winery Exits provides services that may include:
- confidential marketing of wineries, vineyards, wine brands, inventory, equipment, and other wine-industry opportunities;
- buyer identification, qualification, matching, and introductions;
- preparation and distribution of blind teasers, opportunity summaries, buyer reports, valuation summaries, and related marketing materials;
- coordination of nondisclosure agreements and initial information exchange;
- preliminary valuation tools and Broker Opinions of Value;
- Buyer Access profiles, dashboards, reports, and confidential opportunity access;
- facilitation of initial communications between prospective buyers and sellers; and
- related administrative, platform, and coordination services.
Winery Exits may prepare its own engagement agreements, confidentiality agreements, electronic forms, and related platform documentation.
When a transaction involves California real property, licensed real estate brokerage services may be provided by Daniel Pressey through W Real Estate under a separate written agreement. The scope of any brokerage representation is governed by that separate agreement, not solely by these Terms.
Winery Exits does not provide legal, tax, accounting, investment, securities, financing, appraisal, valuation-certification, escrow, environmental, alcohol-licensing, regulatory, or other regulated professional advice.
2. Informational Purposes Only
Unless expressly provided under a separate written agreement, all website content, valuation tools, Buyer Access features, opportunity materials, market commentary, property summaries, reports, estimates, and other information made available through the Services are provided for informational and preliminary evaluation purposes only.
Information provided through the Services does not constitute:
- legal, tax, accounting, investment, securities, financing, environmental, licensing, escrow, or other professional advice;
- a formal appraisal or certified valuation;
- an offer to sell, offer to purchase, solicitation, commitment, or binding agreement;
- a guarantee that any opportunity is available, suitable, accurate, complete, or capable of closing; or
- a recommendation that any user enter into a transaction.
Users should not rely solely upon information provided through Winery Exits when making business, financial, investment, legal, or transaction decisions.
3. Valuation Tools and Broker Opinions of Value
Any estimate generated by the Winery Exits valuation tools is preliminary and based upon generalized assumptions, market benchmarks, and information supplied by the user.
An automated valuation estimate:
- is not a formal appraisal;
- is not a Broker Opinion of Value;
- is not a certified valuation or valuation certification;
- may not reflect all characteristics affecting a particular winery, vineyard, brand, business, or asset; and
- may differ materially from actual market value or the price ultimately offered or received.
A Broker Opinion of Value may be provided separately and may consider available market information, comparable transactions, seller-provided information, real estate, business operations, brand attributes, inventory, equipment, and other relevant factors.
A Broker Opinion of Value remains an opinion and is not an appraisal, certified valuation, legal advice, tax advice, accounting advice, investment advice, or a guarantee of value or sale price.
4. Information Accuracy and Third-Party Information
The Services rely substantially upon information supplied by sellers, property owners, prospective buyers, users, public records, industry participants, and other third parties.
Winery Exits does not independently verify every statement, record, measurement, financial figure, acreage figure, permit, license, production record, inventory schedule, ownership representation, valuation input, or other item presented through the Services.
Information may be:
- incomplete;
- inaccurate;
- outdated;
- preliminary;
- based upon estimates;
- subject to seller correction or approval; or
- changed or withdrawn without notice.
Winery Exits makes no warranty or representation, express or implied, regarding the accuracy, completeness, reliability, availability, or current status of information provided through the Services.
Users are responsible for independently verifying all information material to a potential transaction.
5. User Responsibilities
By using the Services, you agree that:
- information you submit will be true and accurate to the best of your knowledge;
- you will not knowingly provide false, misleading, incomplete, unauthorized, or fraudulent information;
- you will not rely solely upon Winery Exits, its website, reports, valuation tools, or opportunity materials when making a transaction decision;
- you are responsible for evaluating whether any opportunity is appropriate for you;
- you are responsible for conducting your own investigation and due diligence;
- you are responsible for reviewing and negotiating any agreement you may enter;
- you will retain appropriate professional advisors when needed; and
- you will comply with all confidentiality obligations, platform restrictions, and separately executed agreements applicable to your use of the Services.
You may not use the Services to misrepresent your identity, financial capacity, ownership authority, acquisition intent, or authority to act for another person or entity.
6. Brokerage Services and Licensing
Daniel Pressey is a California real estate salesperson affiliated with W Real Estate:

- W Real Estate | CalDRE License No. 01795950
Winery Exits is not itself a substitute for a separately executed real estate brokerage agreement.
When a transaction includes California real property, licensed brokerage services may be provided through W Real Estate under a separate written agreement defining the parties, scope of representation, compensation, duties, and other terms.
Winery Exits may provide confidential marketing and buyer-introduction services relating to wine brands, inventory, equipment, operating businesses, and other business opportunities, subject to any separately executed agreement governing those services.
Nothing on this website represents that Winery Exits, Daniel Pressey, or W Real Estate is licensed to provide real estate brokerage services in any state other than a state in which the applicable licensee is properly licensed.
For properties or services outside the applicable licensed area, Winery Exits may, with the user’s consent, introduce the user to an independently licensed professional.
7. No Automatic Agency, Representation, or Fiduciary Relationship
Accessing the website, using a valuation tool, submitting a buyer or seller profile, requesting information, executing an NDA, viewing an opportunity, or communicating with Winery Exits does not by itself create:
- a broker-client relationship;
- an agency relationship;
- a fiduciary relationship;
- an advisory relationship;
- an attorney-client relationship;
- a partnership;
- a joint venture; or
- any other professional relationship.
A formal client or brokerage relationship is created only through a separate written agreement signed by the applicable parties.
Winery Exits does not represent both parties to a transaction merely because both parties use the platform or communicate through Winery Exits.
8. Independent Professional Advice and Decision-Making
Buyers and sellers remain solely responsible for deciding whether to:
- pursue an opportunity;
- disclose information;
- enter into discussions;
- submit or accept an offer;
- negotiate transaction terms;
- execute a letter of intent or definitive agreement;
- conduct due diligence;
- obtain financing;
- transfer licenses or permits; or
- complete any transaction.
Users should retain their own qualified attorneys, accountants, tax advisors, financial advisors, lenders, appraisers, escrow professionals, environmental consultants, licensing specialists, operational advisors, and other professionals as appropriate.
Winery Exits does not replace these professionals and is not responsible for advice, services, reports, conclusions, or decisions provided by independently retained advisors.
9. No Guarantee of Transaction or Outcome
Winery Exits does not guarantee that:
- any buyer will be identified or approved;
- any seller will release confidential information;
- any opportunity will match a user’s criteria;
- any buyer will be financially qualified;
- any offer will be made or accepted;
- any buyer or seller will enter negotiations;
- any agreement will be executed;
- financing will be available;
- any transaction will proceed or close;
- any license, permit, approval, or consent will transfer; or
- any user will achieve a particular financial, business, investment, or transaction outcome.
Winery Exits facilitates opportunities but does not guarantee results.
10. Buyer Access and Confidential Opportunities
Winery Exits may provide buyer profiles, buyer reports, opportunity matching, curated opportunities, confidential property or business information, and opportunity dashboards collectively referred to as “Buyer Access.”
The following terms apply to Buyer Access:
- submitting a buyer profile does not guarantee approval or access to any opportunity;
- Winery Exits may approve, deny, suspend, revoke, restrict, or limit Buyer Access at its discretion;
- Winery Exits may request proof of funds, financial information, acquisition history, references, interviews, identification, NDAs, or other qualification materials;
- access to one opportunity does not guarantee access to another;
- opportunity access may be limited to particular users, entities, representatives, or advisors;
- confidential details may be withheld until applicable requirements are completed;
- sellers may impose additional approval or confidentiality conditions; and
- Winery Exits may terminate access if information provided by the user is inaccurate, incomplete, misleading, or inconsistent with the stated acquisition purpose.
Buyer Access is personal to the approved user or entity and may not be shared, transferred, resold, published, or made available to unauthorized persons.
11. Opportunity Availability and No Offer
Opportunities presented through Winery Exits may be modified, corrected, suspended, withdrawn, sold, transferred, placed under agreement, or removed at any time without notice.
Winery Exits does not guarantee the continued availability of any opportunity.
Viewing or receiving information about an opportunity does not create:
- a right to acquire the opportunity;
- a right to negotiate with the seller;
- a right to receive further information;
- a right to an introduction;
- a right to exclusivity; or
- any binding obligation upon a seller, buyer, Winery Exits, Daniel Pressey, or W Real Estate.
No transaction is binding unless and until the appropriate parties execute definitive written agreements.
12. Confidential Information
Certain opportunities, materials, reports, identities, financial information, inventory information, business information, platform records, and communications made available through Winery Exits may be confidential.
Access to confidential information may require execution of an NDA or other confidentiality agreement.
Users agree to:
- comply with all applicable confidentiality restrictions;
- use confidential information solely for the authorized purpose;
- limit access to authorized representatives and advisors who are subject to appropriate confidentiality obligations;
- refrain from publishing, distributing, forwarding, reproducing, or disclosing confidential information without authorization;
- protect login credentials, secure links, reports, and downloaded materials; and
- promptly notify Winery Exits of suspected unauthorized use or disclosure.
Additional seller-specific confidentiality requirements may apply to individual opportunities.
Unauthorized access, use, or disclosure may result in immediate suspension or termination of Buyer Access and may subject the user to remedies available under a separately executed agreement or applicable law.
13. Electronic Agreements, Signatures, and Records
Winery Exits may use electronic records and electronic signatures in connection with:
- NDAs;
- confidentiality agreements;
- marketing and engagement agreements;
- brokerage-related documents;
- buyer and seller forms;
- acknowledgments;
- amendments;
- consents; and
- related documentation.
To the fullest extent permitted by applicable law, electronic signatures, typed signatures, click-to-sign actions, digital signatures, and other electronic indications of acceptance have the same effect as original manual signatures.
Users consent to receive, review, sign, and store applicable documents electronically.
Winery Exits may retain:
- executed agreements;
- generated PDFs;
- signature records;
- initials;
- timestamps;
- IP-address records;
- email-delivery records;
- access logs;
- document-view records;
- audit trails; and
- other authentication and platform records.
These records may be retained for legal, regulatory, compliance, evidentiary, security, and business purposes and may be used to establish execution, delivery, access, consent, or compliance with applicable obligations.
14. Third-Party Professionals, Referrals, and Services
Winery Exits may introduce users to real estate professionals, attorneys, accountants, lenders, escrow providers, consultants, environmental professionals, licensing specialists, or other third parties.
Unless expressly stated in a separate written agreement:
- third parties operate independently;
- Winery Exits does not control their advice, services, fees, conduct, or availability;
- an introduction is not an endorsement, warranty, or guarantee;
- users are responsible for evaluating and selecting third-party providers; and
- Winery Exits is not responsible for third-party acts, omissions, advice, conclusions, or outcomes.
Any engagement between a user and a third party is solely between those parties.
15. Platform Access and Acceptable Use
Winery Exits may modify, suspend, discontinue, refuse, or restrict any portion of the Services, including valuation tools, Buyer Access, seller access, opportunity access, reports, or electronic-signature features.
Users may not:
- attempt to gain unauthorized access to any account, opportunity, document, database, or system;
- bypass qualification, confidentiality, or access controls;
- scrape, copy, reproduce, resell, or commercially exploit platform information;
- use the Services for unlawful, fraudulent, misleading, or abusive purposes;
- interfere with site operation or security;
- introduce malicious code;
- impersonate another person or entity; or
- use confidential information to circumvent Winery Exits or contact a party in violation of an applicable agreement.
Winery Exits may suspend or terminate access for violations of these Terms or any separately executed agreement.
16. Intellectual Property
All website content, including text, branding, design, graphics, valuation methodology, calculators, reports, databases, platform structure, opportunity presentations, software, and other materials, is owned by or licensed to Winery Exits and is protected by applicable intellectual-property laws.
Except as expressly authorized, users may not copy, reproduce, modify, publish, distribute, display, sell, license, reverse-engineer, or create derivative works from Winery Exits content or technology.
Limited access to platform materials does not transfer ownership or grant any license beyond the specific authorized use.
17. Privacy and Data Use
Use of the Services is also governed by the Winery Exits Privacy Policy.
Users acknowledge that information submitted through valuation tools, buyer profiles, seller profiles, contact forms, agreements, and platform activity may be collected, stored, reviewed, and used to:
- provide and administer the Services;
- evaluate buyer and seller opportunities;
- perform opportunity matching;
- communicate with users;
- generate reports and agreements;
- maintain business and compliance records;
- protect platform security; and
- satisfy legal or regulatory obligations.
Confidential information remains subject to any additional protections contained in an applicable NDA or other written agreement.
18. Limitation of Liability
To the fullest extent permitted by applicable law, Winery Exits, its members, managers, employees, contractors, representatives, affiliates, successors, and assigns shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-opportunity, diminution-in-value, business-interruption, reputational, or similar damages arising from or relating to:
- use of or inability to use the Services;
- reliance upon any estimate, report, opportunity information, or website content;
- inaccurate, incomplete, or outdated information;
- acts or omissions of buyers, sellers, advisors, professionals, or other third parties;
- denial, suspension, or termination of Buyer Access;
- loss of data or interruption of service;
- failure of any opportunity, negotiation, financing, or transaction; or
- unauthorized access, disclosure, or misuse by a third party beyond Winery Exits’ reasonable control.
Use of the Services is at the user’s own risk.
Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.
19. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Winery Exits, its members, managers, employees, contractors, representatives, affiliates, successors, and assigns from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to:
- information you provide;
- your misuse of the Services;
- your breach of these Terms;
- your breach of a confidentiality obligation;
- your violation of law or third-party rights;
- your lack of authority to submit information or act for another person or entity; or
- your conduct in connection with an opportunity or transaction.
20. Modifications to the Services and Terms
Winery Exits may modify, update, suspend, or discontinue any portion of the Services at any time.
Winery Exits may update these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated.
Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
21. Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any action arising from or relating to these Terms or the Services shall be brought in the state or federal courts located in Sonoma County, California, unless the parties agree otherwise in writing or applicable law requires a different forum.
To the fullest extent permitted by law, each party knowingly and voluntarily waives any right to trial by jury in an action arising from or relating to these Terms or the Services.
22. Severability and Waiver
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in effect.
Any invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its intended purpose as closely as possible.
No failure or delay by Winery Exits in enforcing any right or provision constitutes a waiver of that right or provision.
23. Entire Terms
These Terms, together with the Privacy Policy and any additional terms expressly applicable to a particular feature or Service, govern general use of the Winery Exits website and platform.
Separately executed agreements, including NDAs, engagement agreements, marketing agreements, compensation agreements, brokerage agreements, and other signed documents, may impose additional or different obligations. If a separately executed agreement conflicts with these Terms regarding its specific subject matter, the separately executed agreement will control for that subject matter.
