Winery Exits, LLC — Effective Date: April 4, 2026

Welcome to Winery Exits, LLC (“Company,” “we,” “us,” or “our”). By accessing or using our website, valuation tools, or services (collectively, the “Services”), you agree to these Terms of Service.

If you do not agree, please do not use this website.

1. Informational Purposes Only — No Appraisal

All content and tools on this website, including valuation estimates, are provided for informational purposes only.

  • Any valuation generated is a preliminary estimate only
  • It is not a formal appraisal, Broker Opinion of Value, or certified valuation
  • It is not financial, legal, or tax advice

You should not rely on any estimate or information provided through this website for:

6. No Agency or Client Relationship

Use of this website or submission of information does not create:

  • A broker-client relationship
  • An agency relationship
  • A fiduciary relationship

A formal relationship is only established through a written agreement.

7. Third-Party Referrals

If you choose to be connected with a third-party real estate professional:

  • They operate independently
  • We do not control their services or advice
  • We are not responsible for their actions or outcomes

Any engagement with a third party is at your own discretion.

8. Intellectual Property

All content on this website, including text, design, valuation methodology, and graphics, is owned by Winery Exits, LLC and may not be copied or used without permission.

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in California.

12. Buyer Access & Confidential Opportunities

Winery Exits may offer buyer access profiles, buyer reports, opportunity matching, curated opportunities, and opportunity dashboards (collectively, “Buyer Access”). The following terms apply to all Buyer Access features:

  • Buyer Access is provided for informational purposes only
  • Submission of a buyer profile does not guarantee access to any opportunity
  • Winery Exits may approve, deny, suspend, revoke, or limit Buyer Access at its sole discretion, with or without notice
  • Opportunity information may be preliminary, incomplete, or subject to change
  • Sellers may require additional qualification, proof of funds, references, interviews, NDAs, approvals, or other documentation before releasing information about any opportunity

13. Opportunity Availability

Opportunities presented through the Winery Exits platform are subject to the following:

  • Opportunities may be modified, withdrawn, suspended, sold, transferred, or removed at any time without notice
  • Winery Exits does not guarantee the availability of any opportunity
  • Viewing an opportunity does not create any right to acquire, negotiate, or receive additional information regarding that opportunity

14. Confidential Information

Certain opportunities, materials, and information available through Winery Exits may be designated as confidential. The following terms apply:

  • Access to confidential opportunities or materials may be subject to the execution of a confidentiality agreement or NDA
  • Users agree to respect all confidentiality restrictions associated with any opportunity accessed through the platform
  • Additional seller-specific confidentiality requirements may apply to individual opportunities
  • Unauthorized disclosure of confidential information may result in suspension or termination of Buyer Access

15. Electronic Signatures & Records

Winery Exits may utilize electronic signatures and electronic records in connection with agreements, NDAs, confidentiality agreements, and related documentation. The following terms apply:

  • Electronic signatures facilitated through the Winery Exits platform are legally binding to the fullest extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the California Uniform Electronic Transactions Act (UETA)
  • Electronic records relating to agreements, signatures, and related activity may be maintained by Winery Exits
  • Audit logs, timestamps, IP address records, signature records, and related electronic records may be retained for business, legal, compliance, and evidentiary purposes
  • Such electronic records may be used to verify agreement execution and compliance with confidentiality and other obligations
